1. Acceptance & Business Agreement
Welcome to SourcingBytes (https://sourcingbytes.com). These Terms & Conditions ("Terms") constitute a legally binding agreement between your commercial entity ("Customer", "Buyer", or "User") and SourcingBytes.
By accessing our website, creating an account, submitting a Request for Quotation (RFQ), or engaging our sourcing managers, you represent that you are an authorized representative with authority to bind your corporate entity to these Terms. If you do not agree, you must refrain from utilizing our platform.
2. B2B Sourcing Platform Purpose
SourcingBytes is a commercial B2B procurement facilitation platform. We enable enterprises to submit product sourcing requirements, request factory quotations, coordinate custom OEM/private-label production, manage per-Inquiry communications, and access invoices.
SourcingBytes is not a direct retail ecommerce shop. Catalog listings represent sourcing capabilities and wholesale benchmarks rather than guaranteed consumer retail inventory.
3. Account Registration & Security
To access private sourcing dashboards, receive official commercial quotations, and track order stages, users may register an account or initiate guest requests subject to automatic identity verification.
• Account Accuracy: You agree to provide accurate, current, and complete corporate identity details, tax registration numbers, and valid contact channels.
• Credential Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.
• Corporate Authority: Submissions made under a corporate domain email are deemed authorized business submissions.
4. RFQs, Sourcing Requests & Quotations
• Non-Binding Inquiries: Submitting an RFQ or sourcing request does NOT create a binding purchase order or supply guarantee. It represents a commercial request for proposal.
• Formal Quotations: Commercial commitments arise exclusively upon the issuance and written acceptance of an official Quotation or Invoice issued by SourcingBytes.
• Specification Accuracy: Buyers are responsible for ensuring that all technical parameters, bill of materials, packaging requirements, and target metrics submitted are complete and accurate.
5. Pricing, Invoices & Payment Terms
• Multi-Currency Invoicing: Quotations and invoices are issued in designated commercial currencies (USD, AED, SAR, EUR, etc.) as detailed in the formal invoice document.
• Payment Settlement: B2B payments are settled via agreed corporate bank wire transfer or formal invoicing mechanisms specified on the invoice. Instant online consumer credit card checkout is not utilized.
• Taxes & Duties: Unless expressly itemized in the accepted quotation, custom duties, import taxes, customs brokerage, and local VAT are the responsibility of the Buyer.
6. Custom Manufacturing, OEM & Samples
Sourcing engagements involving custom tooling, specialized molds, private-label branding, or OEM engineering parameters are subject to project-specific technical sign-offs:
• Golden Sample Approval: Production of custom goods commences only after physical or digital sample sign-off by the Buyer where required.
• Pre-Production Tooling Deposits: Tooling, sample creation, and custom setup costs are generally non-refundable once engineering or production has commenced, as specified in Section 8.
7. Order Fulfillment & Quality Control
• Fulfillment Stages: Confirmed orders progress through structured lifecycle stages (Confirmed, Production, Quality Inspection, Freight Logistics, Delivered).
• Pre-Shipment Inspection: Quality checks follow agreed AQL sampling protocols or custom inspection specifications agreed prior to dispatch.
• Freight & Logistics: Delivery schedules represent commercial estimates based on carrier timelines and factory lead times. SourcingBytes is not liable for carrier or customs delays beyond reasonable operational control.
8. Intellectual Property & Customer Assets
• Platform Rights: All website software, source code, visual branding, databases, and written documentation on SourcingBytes belong exclusively to SourcingBytes.
• Customer Content & Trademarks: Customers retain full ownership of submitted trademarks, brand assets, product designs, and confidential technical drawings.
• IP Warranty: Customers warrant that submitted specifications, logos, and CAD designs do not infringe upon any third-party patent, trademark, or intellectual property rights.
9. Limitation of Liability & Indemnification
• Business Scope: To the maximum extent permitted by law under applicable commercial trade laws, SourcingBytes shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of anticipated profit, business disruption, or commercial downtime.
• Total Liability Cap: In all events, SourcingBytes's total aggregate liability arising from a specific order shall not exceed the actual net amount paid by the Buyer for that specific order.
• Indemnification: Buyers agree to defend and indemnify SourcingBytes against claims resulting from Buyer's breach of third-party IP rights, illegal imports, or misuse of delivered goods.
10. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with applicable commercial trade laws.
Any dispute, controversy, or claim arising out of or relating to these Terms or platform operations shall be submitted to the exclusive jurisdiction of competent commercial courts.
